Buyer Terms & Conditions

1. Introduction

These Buyer Terms & Conditions ("Buyer Terms") govern your use of Serendib Trade ("the Platform") as a buyer. By creating a buyer account or using buyer features, you agree to these Buyer Terms.

2. Eligibility

You must be at least 18 years old and act on behalf of a business or organisation with authority to do so. Serendib Trade is a business-to-business marketplace and is not intended for consumer purchases.

3. Account responsibilities

You are responsible for the accuracy of the information in your account, for keeping your credentials confidential, and for all activity carried out under your account. Notify us promptly if you suspect unauthorised access.

4. Truthful information

Company details, sourcing requirements, volumes and destination markets you submit must be accurate and provided in good faith.

5. Buyer conduct

You agree to communicate professionally with exporters, to use contact details obtained on the Platform only for legitimate sourcing purposes, and not to send unsolicited marketing.

6. Inquiries and communications

Inquiries, requests for quotation and messages you send are transmitted to the relevant exporter and stored on the Platform. Exporters may see the business information necessary to respond.

7. Product and sample requests

Sample requests, sample fees, delivery arrangements and any commercial terms are agreed directly between you and the exporter. Serendib Trade is not a party to those arrangements.

8. Transactions between buyers and sellers

Any contract for the supply of goods is concluded directly between you and the exporter. You are responsible for your own due diligence, contracting, payment terms, import compliance and inspection arrangements.

9. Platform role and limitations

Serendib Trade provides discovery, communication and workflow tools. We do not manufacture, own, inspect, warrant or ship goods, and we do not act as agent for either party unless expressly stated in writing.

10. Prohibited activities

You must not use the Platform for unlawful purposes, misrepresent your identity, scrape or bulk-extract data, attempt to bypass security controls, or use the Platform to distribute malware or spam. The Acceptable Use Policy applies in full.

11. Intellectual property

Platform content, branding and software remain the property of Serendib Trade or its licensors. Exporter content remains the property of the relevant exporter.

12. Disputes

Disputes with an exporter should first be raised directly with the exporter. The Dispute & Complaint Policy describes how Serendib Trade may assist.

13. Suspension and termination

We may suspend or terminate an account that breaches these Buyer Terms, applicable law or the Marketplace Rules. You may close your account at any time.

14. Limitation of liability

To the maximum extent permitted by applicable law, Serendib Trade is not liable for losses arising from transactions between buyers and exporters, or from reliance on information supplied by other users.

15. Changes to these terms

We may publish new versions of these Buyer Terms. Where a change is material, you will be asked to review and accept the new version before continuing to use buyer features.
